Terms of Service

Effective 9 June 2025 · GridClash Pty Ltd · Draft for legal review

1. Agreement

These Terms of Service ("Terms") govern your access to and use of GridClash (the "Service") operated by GridClash Pty Ltd (ABN [ABN to be inserted]) ("we", "us", "our").

By creating an account, subscribing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

These Terms are a draft for legal review.

2. The Service

GridClash is a browser-based classroom quiz game for teachers. You can build quiz boards, optionally generate questions using AI, and run team-based games in class.

You may use basic features without an account. An account is required to save boards and use AI question generation. We may modify, suspend, or discontinue features with reasonable notice where practicable.

3. Accounts

You must provide accurate registration information and keep your credentials secure. You are responsible for activity under your account.

The Service is intended for adults (teachers and educators). You represent that you are at least 18 years old, or the age of majority in your jurisdiction, and have authority to use the Service in your professional or personal capacity.

You may delete your account at any time from the account menu. Deletion is permanent and removes your saved boards from our systems, subject to our Privacy Policy.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable education, privacy, or copyright laws
  • Upload content you do not have the right to use, including copyrighted materials without permission
  • Upload documents containing student personal information or other sensitive data not necessary for question generation
  • Attempt to gain unauthorised access to the Service, other users' data, or our systems
  • Abuse AI generation limits, automate requests, or interfere with Service operation
  • Reverse engineer, scrape, or resell the Service except as expressly permitted

5. Subscriptions and billing

Pro and other paid plans are billed through Stripe. Prices displayed at checkout (including applicable currency) are those that apply to your purchase. Subscriptions renew automatically until cancelled.

You can cancel via the billing portal ("Manage billing" in your account). Cancellation stops future charges; access to paid features typically continues until the end of the current billing period unless otherwise stated at purchase.

Refunds are handled in accordance with applicable consumer law, including the Australian Consumer Law. Nothing in these Terms excludes non-excludable consumer guarantees.

We may change pricing for future billing periods with notice. Promotional or beta access may be offered at our discretion.

6. Intellectual property

We own the Service, including its software, design, branding, and documentation. These Terms do not grant you ownership of our intellectual property.

You retain ownership of content you create (questions, board names, and similar). You grant us a limited licence to host, process, and display your content solely to provide the Service to you.

AI-generated questions are provided for your use in connection with the Service. You are responsible for verifying accuracy and suitability before classroom use.

7. AI-generated content

AI question generation is provided as a convenience. Outputs may be inaccurate, incomplete, or inappropriate for your context. You must review and edit all generated content before use.

We do not guarantee that AI outputs are error-free, curriculum-aligned, or suitable for any particular year level or assessment purpose.

8. Disclaimer of warranties

The Service is provided "as is" and "as available" to the maximum extent permitted by law. We do not warrant uninterrupted or error-free operation.

Non-excludable rights and guarantees under the Australian Consumer Law and similar laws are not excluded.

9. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages arising from your use of the Service.

Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve (12) months before the claim, or AUD $100 if you have not paid us, except where liability cannot be limited by law.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms or if required for legal, security, or operational reasons.

Provisions that by nature should survive termination (including intellectual property, disclaimers, and limitations of liability) will survive.

11. Governing law

These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of courts in that state, subject to any non-excludable rights you may have in your country of residence.
